SCOPE AND ROLE

Group-level CFO role with broad responsibility across finance, legal and corporate matters, in a context of transformation, growth and integration. A position combining operational oversight with a strong advisory role to executive leadership and governance bodies.

KEY FOCUS AREAS

- Structuring and evolving the Group CFO function, covering finance, corporate finance and legal at group level.

- Supporting the Executive Committee and shareholders on strategic, financial and governance matters.

- Oversight of group-wide financial processes, reporting, consolidation and performance steering.

- Development and oversight of a group-wide tax approach, ensuring consistency, governance and risk management.

- Oversight of group liquidity, funding and treasury, with a focus on centralisation and control.

- Active involvement in transformation initiatives, integration of acquisitions and governance frameworks.

- Hands-on involvement in M&A transactions, with a strong focus on deal structuring, negotiation and post-acquisition integration.

- Representation of the Group within subsidiary governance bodies, with regular interaction with boards and shareholders.

Sits on various chambers of the Court (judicial reorganisation proceedings, dissolutions, etc.) and acts as supervising judge in bankruptcy cases.

Nethys was a diversified group active in energy, telecom, IT and media, with a public shareholder base.

Appointed in a context of profound governance reset, my role combined financial leadership, restructuring and support to a renewed governance framework.

Key responsibilities included:

- Full responsibility for finance, accounting, treasury, controlling and taxation at group level.

- Oversight of legal matters, internal control, audit and governance processes.

- Active involvement in major divestments and restructuring initiatives, including asset disposals.

- Financial steering of subsidiaries and participation in governance bodies across the group.

- Contribution to restoring financial discipline, transparency and decision-making credibility in a complex public environment.
